Agreement to Terms

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you," "your," or "User") and CareFriend, Inc. ("CareFriend," "we," "our," or "us") governing your access to and use of the CareFriend AI companion calling service, including our website, mobile applications, software, and related services (collectively, the "Service").

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

If you do not agree to all the terms and conditions of this Agreement, you may not access or use the Service.

IMPORTANT: This Agreement contains an arbitration clause and class action waiver that affect your legal rights.

Please read Section 18 (Dispute Resolution) carefully.

1. Service Description and Limitations

1.1 What CareFriend Is

CareFriend is a technology platform that provides AI-powered companion calling services designed for social engagement, wellness check-ins, and family connection. Our AI companion ("Sarah") conducts regular phone conversations with designated individuals ("Care Recipients"), generates conversation summaries, and provides family members with insights through a secure dashboard.

1.2 What CareFriend Is NOT

CareFriend is NOT and does not provide:

  • Medical services, healthcare, or telehealth: We are not a healthcare provider, medical practice, hospital, clinic, or telehealth platform. We do not diagnose, treat, cure, prevent, or manage any disease, medical condition, or health issue.
  • Medical advice or professional consultation: Nothing provided through our Service constitutes medical, nursing, psychological, or any other professional healthcare advice.
  • Emergency response services: Our Service is not an emergency response system and cannot detect, respond to, or provide assistance during medical emergencies, falls, accidents, or other urgent situations.
  • Medical monitoring or supervision: We do not provide continuous health monitoring, vital sign tracking, or medical supervision of any kind.
  • HIPAA-compliant services: We are not a HIPAA-covered entity or business associate. Our Service does not meet HIPAA requirements for handling protected health information (PHI).

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 18 years old to create an account and use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

2.2 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to:

  • Provide truthful and accurate information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities that occur under your account

3. Subscription and Payment Terms

3.1 Subscription Plans

CareFriend offers various subscription plans with different call frequencies and features. We reserve the right to modify our subscription plans, pricing, and features at any time with reasonable notice.

3.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

3.3 Refund Policy

All subscription fees are non-refundable except as expressly provided in this Agreement or required by law. We offer a 14-day money-back guarantee for first-time subscribers. If you are not satisfied with the Service within the first 14 days of your initial paid subscription, you may request a full refund by contacting admin@carefriend.ai.

4. Acceptable Use and Prohibited Conduct

4.1 Prohibited Conduct

You agree NOT to:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Violate any applicable laws or regulations
  • Use the Service to harass, abuse, threaten, or intimidate any person
  • Impersonate any person or entity
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to the Service
  • Reverse engineer or decompile the Service
  • Upload or transmit viruses, malware, or malicious code

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service, including all content, features, functionality, software, and design, is owned by CareFriend or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Limited License

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

6. Privacy and Data Collection

6.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into this Agreement by reference.

6.2 No HIPAA Protection

You acknowledge and agree that CareFriend is not HIPAA compliant and does not provide the protections required under the Health Insurance Portability and Accountability Act for protected health information (PHI).

6.3 Consent to Recording

You acknowledge and consent to the recording, transcription, and analysis of all phone conversations between our AI companion and Care Recipients.

7. AI Technology and Limitations

7.1 AI-Generated Content

Our Service uses artificial intelligence and machine learning technologies. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, omissions, or misinterpretations
  • AI analysis is not a substitute for human judgment or professional expertise
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated content
  • You should not make important decisions based solely on AI-generated content

8. Disclaimers and Limitations of Liability

8.1 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, CareFriend disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Medical Disclaimer

CAREFRIEND IS NOT A MEDICAL SERVICE AND DOES NOT PROVIDE MEDICAL ADVICE.

The Service is not intended to diagnose, treat, cure, prevent, or manage any disease or medical condition. You should not rely on the Service for medical guidance or decision-making.

IF YOU OR YOUR LOVED ONE IS EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY SERVICES IMMEDIATELY. DO NOT RELY ON CAREFRIEND FOR EMERGENCY ASSISTANCE.

8.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CAREFRIEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

IN NO EVENT SHALL CAREFRIEND'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO CAREFRIEND IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless CareFriend from and against any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use or misuse of the Service
  • Your violation of this Agreement
  • Your violation of any rights of any third party
  • Any decisions you make based on information provided by the Service

10. Termination

10.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting admin@carefriend.ai.

10.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service for any reason, including but not limited to violation of this Agreement, fraudulent activity, or non-payment of fees.

11. Modifications to the Service and Agreement

We may modify this Agreement from time to time by posting the updated version on our website. We will provide notice of material changes at least 30 days before they take effect.

Your continued use of the Service after the effective date of the modified Agreement constitutes your acceptance of the changes.

18. Dispute Resolution

18.1 Binding Arbitration

YOU AND CAREFRIEND AGREE THAT ANY DISPUTE SHALL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, except that you may assert claims in small claims court if your claims qualify.

18.2 Class Action Waiver

YOU AND CAREFRIEND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

18.3 Opt-Out

You have the right to opt out of binding arbitration within 30 days of first accepting this Agreement by sending written notice to legal@carefriend.ai.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
